1. About These Terms
These Terms of Business govern all transactions between Behera Trading Co. ("Seller") and any business customer ("Buyer") who places an order for corrugated boxes or industrial packaging products. By confirming an order, the Buyer agrees to these terms in full.
Behera Trading Co. is a B2B packaging trading business registered in Odisha, India (GST: 21FKTPB9751H1ZV, UDYAM: UDYAM-OD-22-0058271). We do not supply to retail consumers.
2. Quotations
- All quotations are valid for 7 calendar days from the date of issue unless stated otherwise.
- Prices in quotations are subject to applicable GST, which will be added separately on the final invoice.
- Quotation prices are based on the quantity, specification, and delivery location stated in the enquiry. Changes to any of these may result in revised pricing.
- A quotation does not constitute a binding contract. A contract is formed only when the Seller issues a written Order Confirmation.
3. Order Confirmation
- Orders must be confirmed in writing — via email or WhatsApp message.
- The Seller will issue an Order Confirmation specifying product, quantity, price, delivery timeline, and payment terms.
- Production or sourcing begins only after payment terms are met (see Section 4).
- Once an Order Confirmation is issued, cancellations are subject to the terms in Section 7.
4. Payment Terms
- New customers: 100% advance payment before dispatch.
- Established customers (with prior order history): Payment terms may be negotiated, typically 50% advance and 50% before dispatch, or as agreed in writing.
- Payment must be made by bank transfer (NEFT/RTGS/IMPS) or UPI to the account details provided in the invoice.
- Goods remain the property of Behera Trading Co. until full payment is received.
- Late payments beyond agreed credit terms will attract interest at 18% per annum.
5. Delivery
- Delivery timelines are estimates and not guaranteed unless explicitly confirmed in writing.
- Standard lead time is 3–7 working days from order confirmation and advance receipt, subject to product availability.
- Delivery is arranged via third-party logistics partners. Risk of loss passes to the Buyer upon handover to the courier/transporter.
- Delivery charges, if applicable, will be stated in the quotation. Where not stated, standard freight charges apply and will appear on the invoice.
- For bulk orders requiring special transport, the Seller will coordinate with the Buyer in advance.
6. Quality and Inspection
- All products are inspected before dispatch for correct specification and visible defects.
- The Buyer must inspect goods within 48 hours of delivery and report any shortages, damage, or non-conforming items in writing.
- Claims raised after 48 hours of delivery will not be accepted, except where a latent defect could not reasonably have been detected on arrival.
- Photographs and a written description must accompany any claim.
7. Cancellations and Returns
- Cancellations must be notified in writing before production or sourcing begins. If notified before this stage, advance payments will be refunded in full.
- Cancellations after production or sourcing has commenced will result in forfeiture of the advance to cover costs incurred.
- Returns are accepted only for goods that are demonstrably defective or incorrectly supplied, subject to inspection.
- Custom-printed or custom-size boxes cannot be returned unless they are defective.
- Approved refunds will be processed within 7–10 working days via bank transfer.
8. Limitation of Liability
The Seller's liability in respect of any claim arising from a transaction is limited to the invoice value of the goods in question. The Seller is not liable for any indirect, consequential, or special losses including loss of profit, loss of business, or delay penalties imposed by the Buyer's own customers.
9. Governing Law and Disputes
These terms are governed by the laws of India. Any dispute arising out of or in connection with these terms shall first be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Odisha, India.
